The Position
The title of the position would be Legal Associate and the position would report directly to the Head of Legal/IP. The Legal Associate would take primary responsibility for overall organization of the Legal/IP department on an administrative basis, as well as assisting the department Head on substantive legal matters, particularly with respect to technology licensing and questions concerning German law. More specific responsibilities include:
 Day-to-Day responsibility for prioritizing and monitoring the status of department-wide projects
 Maintaining accurate electronic and hard copy record keeping for technology licenses and IP-related filings
 Liaising with Company Alliance Managers on contractual legal matters such as amending existing license agreements
 Performing legal research for contract/licensing-related issues under German and European law
 Preparing and reviewing confidential disclosure agreements and related agreements
 Assisting the department Head with the preparation of licensing contracts and other agreements
 Other projects as directed
 In absence, stand in for department Head on licensing matters

The Candidate
The ideal candidate would have a legal degree (Rechtsanwalt) with some legal internship experience and up to two years of post-degree work experience in a high technology company.
Pre-requisite qualifications include:
 Very strong organizational skills and acute attention to detail
 Fluency in German and English, with particularly strong skills in written English
 Knowledge of, or strong desire to learn, fundamental principles of German contract law and unfair competition law
 Capability of learning basic biotech scientific principles underlying Companyâs technology
 Strong communication skills
 Open personality with the possibility to adapt quickly to changes in rapidly growing company
 Ability to work in teams and on tight deadlines

Desirable qualifications could include:
 Knowledge of, or strong desire to learn, fundamental principles of intellectual property law
 Prior exposure to principles of biotechnology
 Experience in a High Tech, rapidly expanding Company

Google's legal team is growing again! Google is looking for an experienced attorney to focus on inbound technology acquisition and procurement transactions. The Counsel's primary responsibilities will include negotiating, drafting, and analyzing a wide variety of licensing, purchasing, services, and development agreements. Work independently but collaboratively in a collegial team environment within a fast-paced legal department.

Responsibilities:
Respond promptly to legal requests from Google's product development, G & A, facilities, and other business clients.
Advise management, finance and other company departments on legal issues and risks, complex deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy.
Negotiate agreements that comply with company policies and risk tolerance.

Requirements:

In-depth experience in contract law, with broad transactional background in technology related agreements.
Experience advising clients on and structuring complex commercial transactions, including technology licensing, purchasing and services contracts.
Significant experience in intellectual property and technology licensing matters.
Extensive background in drafting and negotiating high technology, financial services agreements, statements of work, purchase orders, licenses/intellectual property and other agreements.
Excellent business judgment, strategic thinking.

Overall Purpose

To provide legal support and advice to all aspects of MCI's business in Germany (and possibly in other countries in the Northern Region, in particular Austria, but also in the Nordics and the Netherlands) and across all sales lines of business, namely, Wholesale, Retail (direct and indirect sales channels) and Global Accounts. The role is primarily focused on supporting the Sales force with preparation and negotiation of customer contracts and the provision of legal advice on all issues arising in respect of the sales and marketing activity.

To provide legal support and advice in relation to other general matters relating to the business in Germany (and possibly in Austria and other countries in the Northern Region) including corporate and company secretarial matters, commercial contracts (procurement, network capacity agreements, interconnect etc.), support for the local product marketing organization, development of customer facing service specific documentation, finance and credit and collections matters.

Responsibilities

Preparation, review and negotiation of customer contracts, including local, pan-European and global contracts and service level agreements (primarily under German law), from MCI's own standard form contracts, as well as from customer's own form of agreement in certain cases, covering the full range of MCI's services (i.e. voice, data and internet)
Review of RFP's and bid responses including both standard and non-standard proposals for customer opportunities
Legal support for non-standard customer solutions, including preparation of NDAs, teaming agreements and related procurement agreements required to support the solution
Advising on ad hoc legal issues that arise in respect of the Sales channel activity, including after sales support, e.g. regulatory issues, data protection issues, etc, and liaison with other subject matter experts within the business, e.g. International Regulatory or International Tax
Advising upon any threatened claims, and subsequent settlement issues, in respect of the Sales channel, and liaison with EMEA Litigation Counsel as necessary
Liaising with Account Teams, Special Pricing, Bid Management, Technical Teams, Contract Management Group and other support functions
Reporting on legal activity in Germany (and possibly in other countries in the Northern Region) to Senior Legal Counsel
Legal support for Product Development activity in Germany (and possibly in Austria and other countries in the Southern Region) including support for development of local customer facing product specific contract documentation. Review of local marketing and product material
Providing legal assistance in relation to general corporate matters involving the German subsidiaries including company secretarial matters, insurance, real estate, internal restructuring and commercial contracts
Liaising with local counsel where required to support sales opportunities and other business requirements.

Duties associated with this position include researching and writing country reports for Institute projects, responding to inquiries, and preparing expert reports on legal issues in the countries belonging to the section. Additional duties include ordering books for the Instituteâs library, establishing and maintaining contact with scholars abroad, and looking out for guest scholars at the Institute.

Requirements
Requirements for this position are a university degree in law with good marks, in-depth knowledge of English and German law as well as fluency in English and German. In addition to an interest in comparative law, experience in academic work would be helpful.

Payment
If the relevant criteria are met, a salary in accordance with German civil service rate BAT IIa will be paid.
